1. About These Terms

Welcome to Gosh. These Terms and Conditions (the "Terms") form a legally binding agreement between you and Spheregosh Private Limited, a company incorporated in the Republic of Singapore ("Gosh", "we", "us", or "our").

These Terms govern your access to and use of:

5. Licence to Use the Services

Subject to your compliance with these Terms, Gosh grants you a personal, limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Services for your personal, non-commercial purposes (or, in the case of authorised business users, for the limited business purposes set out in any applicable supplemental terms).

All right, title, and interest in and to the Services (other than User Content) is owned by Gosh or its licensors and is protected by intellectual-property laws. Nothing in these Terms transfers any such right to you except for the limited licence above.

6. User Content

6.1 Ownership

You retain all ownership rights in your User Content. We do not claim any ownership interest in your User Content.

6.2 Licence to Gosh

By submitting, uploading, streaming, or otherwise making available any User Content through the Services, you grant Gosh and its affiliates a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, cache, transmit, reproduce, modify (only to the extent technically necessary, such as for transcoding, formatting, or display optimisation), publicly perform, publicly display, and distribute that User Content for the purposes of operating, providing, marketing, and improving the Services.

This licence terminates when you delete the User Content or your Account, except: (a) to the extent the User Content has been shared with others who have not deleted it; (b) to the extent we are required by law to retain it; or (c) to the extent we have made reasonable archival or backup copies.

You acknowledge that livestreams are inherently public and may be viewed, screen-captured, or recorded by other users; we are not responsible for any such third-party recording.

6.3 Your Representations

You represent and warrant that, for each item of User Content you submit:

You are solely responsible for your User Content. We do not endorse, support, represent, or guarantee the truth, accuracy, or reliability of User Content posted by users.

6.4 Music and Third-Party Materials

You are solely responsible for ensuring that you have all necessary rights to broadcast or include any music, audio recordings, video clips, trade marks, brand names, or other third-party materials in your livestreams or User Content. The Services do not grant you any music synchronisation, public performance, master-recording, or other third-party licences.

6.5 Removal

We may, but are not obliged to, review User Content. We reserve the right (without obligation) to remove, restrict access to, or refuse to publish any User Content that we reasonably consider violates these Terms, our Community Guidelines, applicable law, or third-party rights.

9. Coins and Virtual Gifts

9.1 Nature of Coins

Coins are a limited, revocable, personal, non-transferable, non-sublicensable licence to use a feature of the Services. Coins:

You may purchase Coins through authorised payment methods. All purchases are processed by third-party payment providers, whose terms apply in addition to these Terms. Applicable taxes and fees may be added at checkout.

9.3 Refunds

Except where required by mandatory consumer-protection law, all purchases of Coins are final and non-refundable. Where a refund is granted (whether voluntarily or as required by law), we reserve the right to revoke any associated Coins or Gifts and to claw back any related Streamer payouts.

9.4 Use of Coins

Coins may be used to send Gifts to Streamers and to access certain features. Use of Coins is subject to any supplemental rules we publish from time to time, including any rules on age, eligibility, transfer limits, anti-fraud, or anti-money-laundering controls.

9.5 Account Closure

If your Account is terminated for breach of these Terms, any unused Coins may be forfeited without compensation. If we close your Account for reasons not attributable to your breach, we will, where required by applicable law, refund the unused balance using a method we reasonably select.

10. Intellectual Property

The Services, including all software, designs, layouts, logos, trade marks, service marks, trade names, and other proprietary materials (other than User Content), are the property of Gosh or its licensors. You may not use any of our trade marks, logos, or branding without our prior written consent.

11. Copyright Infringement

We respect intellectual-property rights. If you believe that any User Content infringes your copyright or other intellectual-property right, you may submit a notice to us at [email protected]. Your notice should include:

We will respond to valid notices in accordance with applicable law, which may include removing or disabling access to the allegedly infringing content. We may terminate Accounts of users who are repeat infringers.

12. Third-Party Services and Links

The Services may contain links to, or interoperate with, third-party services, websites, and content. We are not responsible for, and do not endorse, any such third-party services. Your use of any third-party service is governed by that third party's own terms and privacy policy.

13. Advertising

The Services may include advertisements, sponsored content, and promotions. You acknowledge that we, our affiliates, and our advertising partners may display advertising on the Services and in connection with your User Content, subject to applicable law and any controls we make available to you.

14. Suspension and Termination

14.1 Termination by You

You may terminate your Account at any time by following the closure procedure available in the Services or by contacting us at [email protected].

14.2 Termination or Suspension by Us

We may suspend, restrict, or terminate your access to all or any part of the Services, and we may close your Account, where:

14.3 Effect of Termination

Upon termination, your right to access and use the Services ends immediately. Sections that by their nature should survive termination — including those relating to User Content licences, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Gosh, its affiliates, and their respective directors, officers, employees, and agents from and against any third-party claims, demands, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your User Content; (c) your breach of these Terms or applicable law; or (d) your infringement of any third-party right.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-laws principles.

18.2 Arbitration

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of SIAC for the time being in force, which rules are deemed to be incorporated by reference into this Section.

18.3 Injunctive Relief

Notwithstanding Section 18.2, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.

18.4 Mandatory Local Rights

Where you are a consumer resident in a jurisdiction whose mandatory consumer-protection laws give you the right to bring a claim in your local courts or to rely on a more protective legal regime, nothing in this Section deprives you of that right.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by reasonable means (which may include posting the revised Terms on the Services and updating the "Last Updated" date, or sending an email or in-app notification). Continued use of the Services after the effective date of the revised Terms constitutes your acceptance. If you do not agree, you must stop using the Services.
