1. About These Terms
Welcome to Gosh. These Terms and Conditions (the "Terms") form a legally binding agreement between you and Spheregosh Private Limited, a company incorporated in the Republic of Singapore ("Gosh", "we", "us", or "our").
These Terms govern your access to and use of:
- the Gosh website (including gosh0.com and any successor or related domains);
- the Gosh mobile applications;
- any related products, services, content, and features
(collectively, the "Services").
By creating an account, accessing, or using the Services in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.
2. Definitions
In these Terms, capitalised terms have the following meanings:
- "Account" means a user account registered for the Services.
- "Coins" means the virtual items issued by Gosh for use within the Services as further described in Section 9.
- "Community Guidelines" means the supplemental rules of conduct we publish from time to time on the Services.
- "Content" means any text, graphics, audio, video, livestreams, comments, and other materials made available through the Services.
- "Gifts" means virtual items that may be sent or activated using Coins.
- "Streamer" means a user who broadcasts live content via the Services.
- "User Content" means any Content that is uploaded, transmitted, streamed, posted, or otherwise made available by a user (including a Streamer) through the Services.
- "Viewer" means a user who watches or interacts with content on the Services without being the broadcaster.
3. Eligibility
The Services are intended for users who are at least eighteen (18) years of age. By accessing or using the Services, you represent and warrant that:
- you are at least 18 years old;
- you have the legal capacity to enter into a binding contract under the laws applicable to you;
- you are not subject to any sanctions, embargo, or restricted-persons list under the laws of Singapore, the United Nations, the United Kingdom, the European Union, or the United States; and
- you have not previously been suspended or removed from the Services unless we have expressly authorised your return.
If you are under 18, you must not register, create an Account, or otherwise use the Services. We reserve the right to verify your age and to terminate any Account associated with a user who is underage.
If you are accessing the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
4. Account Registration
To access certain features of the Services, you must register an Account. You agree to:
- provide accurate, current, and complete information during registration and to keep it updated;
- maintain the confidentiality of your Account credentials and not share them with any third party;
- be solely responsible for all activity that occurs under your Account;
- promptly notify us at [email protected] of any unauthorised access or suspected breach of security;
- not create more than one Account, unless expressly authorised by us in writing;
- not buy, sell, transfer, lease, or otherwise dispose of any Account, username, or in-Account asset without our prior written consent.
We may, in our discretion, refuse registration, reclaim usernames, or suspend or terminate Accounts that we reasonably believe violate these Terms or applicable law.
5. Licence to Use the Services
Subject to your compliance with these Terms, Gosh grants you a personal, limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Services for your personal, non-commercial purposes (or, in the case of authorised business users, for the limited business purposes set out in any applicable supplemental terms).
You agree that you will not:
- copy, modify, translate, reverse engineer, decompile, disassemble, or create derivative works of the Services or any part of them, except to the extent expressly permitted by applicable law that cannot be excluded by contract;
- rent, lease, lend, sell, sublicense, or otherwise commercially exploit any part of the Services;
- access the Services through any automated means (robots, scrapers, spiders, crawlers, etc.) without our prior written consent, except for legitimate search-engine indexing of publicly available pages;
- circumvent or attempt to circumvent any security, authentication, rate-limiting, content-filtering, or other technical measure;
- use the Services in any manner that could damage, disable, overburden, or impair them; or
- use the Services to develop, train, or improve any artificial-intelligence or machine-learning model without our prior written consent.
All right, title, and interest in and to the Services (other than User Content) is owned by Gosh or its licensors and is protected by intellectual-property laws. Nothing in these Terms transfers any such right to you except for the limited licence above.
6. User Content
6.1 Ownership
You retain all ownership rights in your User Content. We do not claim any ownership interest in your User Content.
6.2 Licence to Gosh
By submitting, uploading, streaming, or otherwise making available any User Content through the Services, you grant Gosh and its affiliates a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, cache, transmit, reproduce, modify (only to the extent technically necessary, such as for transcoding, formatting, or display optimisation), publicly perform, publicly display, and distribute that User Content for the purposes of operating, providing, marketing, and improving the Services.
This licence terminates when you delete the User Content or your Account, except: (a) to the extent the User Content has been shared with others who have not deleted it; (b) to the extent we are required by law to retain it; or (c) to the extent we have made reasonable archival or backup copies.
You acknowledge that livestreams are inherently public and may be viewed, screen-captured, or recorded by other users; we are not responsible for any such third-party recording.
6.3 Your Representations
You represent and warrant that, for each item of User Content you submit:
- you own it or have all rights, licences, consents, and permissions necessary to grant the licence in Section 6.2;
- it does not infringe any third party's intellectual-property rights, privacy rights, publicity rights, or any other rights;
- it does not violate any applicable law, regulation, these Terms, or our Community Guidelines;
- it does not contain any malware, virus, or other harmful code; and
- to the extent it depicts identifiable individuals, you have obtained all consents required under applicable law.
You are solely responsible for your User Content. We do not endorse, support, represent, or guarantee the truth, accuracy, or reliability of User Content posted by users.
6.4 Music and Third-Party Materials
You are solely responsible for ensuring that you have all necessary rights to broadcast or include any music, audio recordings, video clips, trade marks, brand names, or other third-party materials in your livestreams or User Content. The Services do not grant you any music synchronisation, public performance, master-recording, or other third-party licences.
6.5 Removal
We may, but are not obliged to, review User Content. We reserve the right (without obligation) to remove, restrict access to, or refuse to publish any User Content that we reasonably consider violates these Terms, our Community Guidelines, applicable law, or third-party rights.
7. Prohibited Conduct
You agree not to use the Services to (or to attempt to):
- transmit, post, stream, or otherwise make available any content that is unlawful, defamatory, obscene, pornographic, sexually explicit, hateful, harassing, threatening, abusive, or otherwise objectionable;
- depict or facilitate child sexual abuse material or any sexualisation of minors (we have a zero-tolerance policy and will report such material to the relevant law-enforcement authorities);
- promote terrorism, violent extremism, self-harm, suicide, or eating disorders;
- engage in fraud, deception, or impersonation of any person or entity;
- engage in or solicit gambling activities except where expressly permitted by us in writing and conducted in compliance with all applicable laws and licensing requirements;
- harvest, scrape, or otherwise collect personal data of other users without their consent;
- distribute spam, chain messages, or unsolicited promotional content;
- promote, sell, or facilitate the sale of regulated, illegal, or restricted goods or services (including weapons, narcotics, prescription medication, tobacco, or counterfeit products);
- interfere with or disrupt the Services, the servers and networks connected to them, or any third party's enjoyment of them;
- attempt to gain unauthorised access to any portion of the Services, other Accounts, or any connected systems or networks;
- exploit any bug, error, or vulnerability in the Services for any unauthorised gain or advantage;
- use the Services in violation of any export-control, sanctions, anti-money-laundering, or counter-terrorism-financing law.
We may also publish supplemental Community Guidelines from time to time, which form part of these Terms.
8. Live Streaming
If you broadcast live content through the Services as a Streamer:
- you remain solely responsible for the content you broadcast in real time, including the conduct of guests, on-screen text, audio, and any associated chat;
- you must comply with all applicable laws in the jurisdiction from which you broadcast and in which your audience is located, including those relating to public broadcasting, public order, decency, gambling, alcohol, tobacco, firearms, and minors;
- you grant Viewers the right to view your livestream subject to these Terms;
- we may suspend, terminate, or interrupt any livestream that we reasonably believe violates these Terms, our Community Guidelines, applicable law, or third-party rights, with or without prior notice.
9. Coins and Virtual Gifts
9.1 Nature of Coins
Coins are a limited, revocable, personal, non-transferable, non-sublicensable licence to use a feature of the Services. Coins:
- are not currency, money, legal tender, electronic money, or a claim for cash;
- have no monetary value outside the Services;
- cannot be redeemed, exchanged, or transferred for cash or any other items of value, except as expressly permitted by us in our discretion or as required by applicable law;
- may be modified, suspended, or discontinued by us at any time to the extent permitted by law.
9.2 Purchase of Coins
You may purchase Coins through authorised payment methods. All purchases are processed by third-party payment providers, whose terms apply in addition to these Terms. Applicable taxes and fees may be added at checkout.
9.3 Refunds
Except where required by mandatory consumer-protection law, all purchases of Coins are final and non-refundable. Where a refund is granted (whether voluntarily or as required by law), we reserve the right to revoke any associated Coins or Gifts and to claw back any related Streamer payouts.
9.4 Use of Coins
Coins may be used to send Gifts to Streamers and to access certain features. Use of Coins is subject to any supplemental rules we publish from time to time, including any rules on age, eligibility, transfer limits, anti-fraud, or anti-money-laundering controls.
9.5 Account Closure
If your Account is terminated for breach of these Terms, any unused Coins may be forfeited without compensation. If we close your Account for reasons not attributable to your breach, we will, where required by applicable law, refund the unused balance using a method we reasonably select.
10. Intellectual Property
The Services, including all software, designs, layouts, logos, trade marks, service marks, trade names, and other proprietary materials (other than User Content), are the property of Gosh or its licensors. You may not use any of our trade marks, logos, or branding without our prior written consent.
11. Copyright Infringement
We respect intellectual-property rights. If you believe that any User Content infringes your copyright or other intellectual-property right, you may submit a notice to us at [email protected]. Your notice should include:
- your contact details (full name, address, email, and telephone number);
- identification of the copyrighted work or right that you claim has been infringed;
- identification of the User Content that you claim is infringing, with information sufficient to allow us to locate it (such as the URL or stream identifier);
- a statement that you have a good-faith belief that the use of the material is not authorised by the rights owner, its agent, or applicable law;
- a statement, made under penalty of perjury or its equivalent under applicable law, that the information in your notice is accurate and that you are the rights owner or authorised to act on its behalf;
- your physical or electronic signature.
We will respond to valid notices in accordance with applicable law, which may include removing or disabling access to the allegedly infringing content. We may terminate Accounts of users who are repeat infringers.
12. Third-Party Services and Links
The Services may contain links to, or interoperate with, third-party services, websites, and content. We are not responsible for, and do not endorse, any such third-party services. Your use of any third-party service is governed by that third party's own terms and privacy policy.
13. Advertising
The Services may include advertisements, sponsored content, and promotions. You acknowledge that we, our affiliates, and our advertising partners may display advertising on the Services and in connection with your User Content, subject to applicable law and any controls we make available to you.
14. Suspension and Termination
14.1 Termination by You
You may terminate your Account at any time by following the closure procedure available in the Services or by contacting us at [email protected].
14.2 Termination or Suspension by Us
We may suspend, restrict, or terminate your access to all or any part of the Services, and we may close your Account, where:
- we reasonably believe you have breached these Terms, our Community Guidelines, or applicable law;
- your Account has been inactive for a prolonged period;
- we are required to do so by law, court order, or regulatory direction;
- continued provision of the Services would expose us to legal or reputational risk;
- we cease to offer the Services in your jurisdiction.
Where reasonably practicable and lawful, we will provide notice and (where appropriate) an opportunity to remedy the breach before suspension or termination. In serious cases, we may act without prior notice.
14.3 Effect of Termination
Upon termination, your right to access and use the Services ends immediately. Sections that by their nature should survive termination — including those relating to User Content licences, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.
15. Disclaimers
To the maximum extent permitted by applicable law:
- the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise;
- we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment;
- we do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components;
- we are not responsible for the conduct, content, or actions of any user or third party.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.
16. Limitation of Liability
To the maximum extent permitted by applicable law:
- in no event will Gosh, its affiliates, directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, business, goodwill, or data, however arising, even if advised of the possibility of such damages;
- our aggregate liability arising out of or in connection with these Terms or the Services, whether in contract, tort (including negligence), or otherwise, will not exceed the greater of (a) the total amounts paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Singapore dollars (SGD 100).
Nothing in this Section limits any liability that cannot lawfully be limited or excluded, including liability for fraud, fraudulent misrepresentation, or wilful misconduct.
17. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Gosh, its affiliates, and their respective directors, officers, employees, and agents from and against any third-party claims, demands, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your User Content; (c) your breach of these Terms or applicable law; or (d) your infringement of any third-party right.
18. Governing Law and Dispute Resolution
18.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-laws principles.
18.2 Arbitration
Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of SIAC for the time being in force, which rules are deemed to be incorporated by reference into this Section.
- Seat of arbitration: Singapore.
- Tribunal: one (1) arbitrator.
- Language: English.
- Award: final and binding on the parties.
18.3 Injunctive Relief
Notwithstanding Section 18.2, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.
18.4 Mandatory Local Rights
Where you are a consumer resident in a jurisdiction whose mandatory consumer-protection laws give you the right to bring a claim in your local courts or to rely on a more protective legal regime, nothing in this Section deprives you of that right.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by reasonable means (which may include posting the revised Terms on the Services and updating the "Last Updated" date, or sending an email or in-app notification). Continued use of the Services after the effective date of the revised Terms constitutes your acceptance. If you do not agree, you must stop using the Services.
20. Miscellaneous
- Entire Agreement. These Terms (together with the Privacy Policy and any supplemental terms incorporated by reference) constitute the entire agreement between you and Gosh regarding the Services.
- Severability. If any provision is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while reflecting the parties' original intent.
- No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
- Third-Party Rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any provision.
- Force Majeure. We will not be liable for any delay or failure to perform caused by events beyond our reasonable control.
- Language. These Terms are written in English. Any translation is provided for convenience only; the English version prevails in the event of conflict.
- Notices. We may give notices by email, in-app notification, or by posting on the Services.
